Acceptance of Terms

Welcome to Ape Church, accessible at ape.church ("Ape Church," "we," "us," or the "Platform"). These Terms of Service ("Terms") govern your access to and use of the Platform and any related websites, applications, interfaces, smart contracts, and services made available by us (collectively, the "Services").

By accessing or using the Platform in any manner, including by connecting a wallet or interacting with our smart contracts, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

These Terms apply to all visitors, users, and other persons who access or use the Platform (collectively, "Users" or "you").

We may update, modify, or replace any part of these Terms at our sole discretion. When we do so, we will update the "Last Updated" date above and may post the revised Terms on the Platform.

Your continued access or use of the Platform after any changes to these Terms become effective constitutes your acceptance of the updated Terms. You are responsible for reviewing these Terms periodically.

Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is higher), to access or use the Platform.

By using the Platform, you represent and warrant that you meet these age and legal capacity requirements and that you are fully able and competent to enter into a binding agreement with us.

Access to the Platform may be restricted or prohibited in certain jurisdictions. You are solely responsible for determining whether your use of the Platform is lawful in your jurisdiction, and you may not access or use the Platform if you are located in, established in, or a citizen or resident of any jurisdiction where participation in blockchain-based gaming, wagering, or similar activities is prohibited by law.

You agree to comply with all applicable local, state, national, and international laws, regulations, and rules, including any tax obligations that may arise from your use of the Platform.

Nature of the Platform

The Platform is a decentralized, on-chain gaming and wagering interface that interacts with non-custodial smart contracts deployed on one or more public blockchain networks, including ApeChain and other networks we may support from time to time (collectively, the "Supported Networks"). The Platform is not a centralized exchange or a bank.

The smart contracts made available through the Platform allow Users to participate in various games of chance and other blockchain-based interactions (collectively, the "Games"). Deposits, wagers, payouts, and withdrawals are executed by transparent and verifiable code deployed on the Supported Networks.

In many Games, Users are effectively playing against a shared on-chain liquidity pool (the "House Pool") funded by other Users, rather than against Ape Church itself. Ape Church provides the interface and supporting services that allow Users to interact with these smart contracts, but Ape Church is not the counterparty to Users’ wagers.

The Platform may charge protocol-level fees or commissions on certain transactions (for example, a flat percentage of wager amounts), which are paid as compensation for providing and maintaining the Platform. These fees are separate from any Game outcomes, and Ape Church does not rely on player losses in the Games as its source of profit.

Self-Custody & Smart Vaults: The Platform does not at any time take custody of your funds in a traditional, custodial sense. When you commit funds to gameplay or to the House Pool, those funds are locked into non-custodial smart contracts (sometimes referred to as "vaults" or "smart vaults") that automatically release or unlock funds pursuant to the terms of the applicable smart contract.

Funds Flow: The smart contracts are typically designed such that funds flow in and out only from the same wallet address that initiated the interaction, thereby minimizing the role of third parties and reducing the risk of unauthorized fund use or misappropriation.

Provably Fair Games: Each gambling Game on the Platform is designed to be provably fair, with each bet and settlement recorded on the relevant Supported Network in a transparent way that allows independent verification of Game outcomes. We use cryptographic methods to help ensure the integrity of random number generation and bet resolution.

Assumption of Risk: By accessing or using the Platform, you acknowledge and accept the inherent risks associated with cryptocurrency-based systems, including but not limited to risks of smart contract vulnerabilities, bugs, hacks, exploits, hardware or software failures, internet connectivity issues, and extreme volatility in the value of digital assets. You understand that you may lose some or all of the funds you wager or interact with on the Platform and that such losses are solely your responsibility.

The House Pool & Liquidity Providers

The Platform enables Users to participate in an on-chain liquidity pool that serves as the counterparty for certain Games (the "House Pool"). The House Pool is implemented entirely via smart contracts on the Supported Networks and is publicly viewable, transparent, and accessible to any eligible User who meets the requirements set forth in these Terms and in the relevant smart contracts.

When you deposit APE or other supported assets into the House Pool, you are acting as a liquidity provider or "House Participant." In this capacity, you are effectively providing capital that other Users play against in the Games. You are not lending funds to Ape Church, and Ape Church does not use House Pool funds for its own proprietary trading or wagering.

As a House Participant, you may receive a pro rata share of the net results of player activity against the House Pool. This means that you may benefit when players, in aggregate, lose against the House Pool, and you may incur losses when players, in aggregate, win against the House Pool. You understand and agree that you bear 100% of the risk of player wins relative to your share of the House Pool, and that your deposit may increase or decrease in value accordingly.

The Platform is designed so that Ape Church earns revenue primarily from protocol-level fees on wagers (for example, a flat percentage of bets placed), rather than from player losses. Ape Church does not rely on the House Pool’s net profit or loss for its business model and does not assume the role of the "house" in the traditional casino sense.

Withdrawals from the House Pool are subject to certain on-chain rules and constraints implemented by the relevant smart contracts. As currently configured, withdrawals may incur a withdrawal fee (for example, two percent (2%) of the withdrawn amount), which is redistributed to remaining House Participants in the pool. Additionally, deposits may be subject to a minimum lock-up period (for example, approximately fifteen (15) minutes) during which you may be unable to withdraw, in order to mitigate abusive strategies, such as attempting to front-run or exploit Game outcomes or MEV opportunities.

The House Pool is intended to function as an auto-compounding staking or liquidity mechanism, where realized gains and losses from Games interacting with the House Pool are reflected in the on-chain balance and in the relative share of each House Participant. However, there is no guarantee of profit or yield, and your participation in the House Pool is highly speculative and involves substantial risk.

All parameters of the House Pool, including but not limited to eligible assets, fees, lock-up periods, reward logic, and allocation methods, are determined by the underlying smart contracts and may be modified over time, including through upgrades, replacements, or new contract deployments. We make no representation that any specific configuration, fee level, or parameter will remain in effect for any particular period of time.

You acknowledge that participating in the House Pool may result in the total loss of your deposited assets. You should not deposit any amount into the House Pool that you cannot afford to lose in its entirety. By choosing to act as a House Participant, you accept all risks associated with such participation, including smart contract risk, market risk, Game outcome volatility, and the risk of adverse strategies by other Users.

Ape Church does not and cannot guarantee the performance, security, or profitability of the House Pool. Your use of the House Pool is entirely at your own risk.

Account and Wallet Integration

To interact with the Platform, you must connect a compatible, non-custodial digital wallet (the "Wallet"). You are solely responsible for safeguarding the security of your Wallet, private keys, seed phrases, passcodes, and any other credentials associated with your Wallet.

We do not have access to or control over your Wallet or private keys. We cannot recover lost or stolen private keys or assist you in reversing or modifying any transactions you have authorized.

You understand that all transactions executed on a Supported Network require payment of network fees (often referred to as "gas" or similar). You are solely responsible for ensuring you have sufficient balance to cover any such fees, which are paid to validators or other participants on the relevant network, not to us.

You agree to provide accurate and complete information when interacting with the Platform (for example, for support requests or compliance checks) and to promptly update such information if it changes.

Gimbo Points (GP) & Play-to-Earn

We may, from time to time and at our sole discretion, offer Users access to discretionary in-platform rewards, bonus items, or loyalty features (collectively, "Gimbo Points" or "GP"). GP may be awarded automatically by smart contracts as you place wagers or interact with Games on the Platform, or may be distributed according to other criteria such as frequency of play, type of Game, or promotional campaigns we determine.

As currently designed, each 1 APE wagered on eligible Games will generally earn at least ten (10) GP. This base rate may be modified or enhanced by time-limited promotions (such as "Double GP" events) or by ownership of specific NFTs associated with the Platform (for example, Gimbos NFTs). In some configurations, each eligible NFT may increase your GP earning rate by a fixed percentage, up to a maximum multiplier (for example, up to 2.5x at certain NFT holdings). All such rates, thresholds, and multipliers are promotional features and may be changed, limited, or discontinued at any time at our discretion.

GP may, where available, be spent or redeemed within the Platform for certain discretionary benefits, such as opening Loot Boxes, redeeming Game vouchers (for example, a free 1 APE Plinko ball or a 1 APE Keno ticket), opening NFT packs, or participating in whitelist or minting opportunities for certain NFTs (including Gimbo-related NFTs), each as described within the Platform from time to time. The specific ways GP can be used, and any associated conditions or limitations, are determined solely by us and may be updated or discontinued without notice.

GP is implemented as an on-chain token (ERC-20 standard) that may be minted or awarded in real time by the relevant smart contracts as gameplay occurs. However, GP is not and is not intended to be legal tender, currency, securities, commodities, or any other financial instrument. GP is provided purely as a promotional, cashback-style rewards mechanism for Users who generate volume on the Platform.

GP has no independent, guaranteed, or intrinsic monetary value. We do not create or support any external liquidity pool, market, or exchange for GP, and we do not represent or warrant that GP can be sold, traded, swapped, or redeemed for any off-platform value. Any secondary market activity involving GP that may arise is entirely outside of our control, and we make no promises that such a market will exist or persist.

We may modify, adjust, suspend, or discontinue any GP-related programs, features, balances, or rewards at any time, with or without notice, including by changing earning rates, disabling accrual, limiting redemptions, or adjusting GP balances in cases of error, abuse, fraud, or violation of these Terms. We shall not be liable to you or any third party for exercising this discretion.

We may also provide Users with access to a separate, discretionary demo balance or similar feature ("Play-to-Earn Balance") that allows participation in certain Games without committing real funds. Any such Play-to-Earn Balance is purely promotional, has no monetary value, and cannot be bought, sold, traded, transferred, or withdrawn.

You may, in some cases, earn GP or other non-cash rewards while using Play-to-Earn Balance. However, Play-to-Earn Balance itself does not represent a claim on any real-world currency or digital asset, and we make no guarantees that any gameplay using such demo balances will result in GP or any other reward.

We reserve the right to modify, suspend, or terminate any GP, Play-to-Earn, or similar promotional program at any time, with no obligation or liability to you.

Responsible Gaming

Participating in Games on the Platform involves substantial financial risk. There is no guarantee that you will win or profit, and you may lose part or all of the funds you wager. You should only stake funds that you can afford to lose in their entirety.

You are solely responsible for your gaming decisions and for setting your own limits. The Platform does not impose betting limits or self-exclusion features beyond what is implemented in the underlying smart contracts.

If you believe you may have a gambling problem or that your use of the Platform is negatively affecting your life, we strongly encourage you to cease using the Platform and to seek assistance from qualified professionals or support organizations.

Prohibited Conduct

You agree that you will not use the Platform for any unlawful, harmful, or abusive purpose or in any way that violates these Terms.

Without limiting the foregoing, you agree that you will not: (a) violate any applicable law, regulation, or rule; (b) attempt to circumvent, disable, or interfere with any security-related features of the Platform or the underlying smart contracts; (c) provide false, inaccurate, or misleading information; (d) interfere with, disrupt, or negatively affect the normal functioning of the Platform or the experiences of other Users; (e) engage in any fraudulent, manipulative, abusive, or otherwise improper behavior, including but not limited to exploiting bugs or smart-contract vulnerabilities; (f) use any automated means, including bots or scripts, to access or interact with the Platform without our prior written consent; or (g) reverse-engineer, decompile, copy, modify, or attempt to subvert the underlying protocol or smart contracts governing the Games, except to the extent such activities are expressly permitted by applicable law.

We reserve the right, in our sole discretion, to void any bets, cancel transactions, deny payouts, or restrict or terminate your access to the Platform if we believe you have engaged in any prohibited conduct or otherwise violated these Terms.

Intellectual Property

All content, software, smart contract code (to the extent owned by us), graphics, logos, trademarks, service marks, and other brand features displayed on or associated with the Platform (collectively, the "Content") are owned by or licensed to Ape Church and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Content solely for your personal, non-commercial use in accordance with these Terms.

You may not copy, reproduce, modify, distribute, transmit, publicly display, publicly perform, create derivative works of, or otherwise exploit any Content without our prior written permission or the permission of the applicable rights holder, except as expressly permitted by applicable law.

Privacy and Data

Transactions executed via the Platform occur on public, permissionless blockchains. This means that your wallet address, transaction history, and other on-chain data are publicly visible and permanently recorded on the relevant Supported Network. Anyone can view this information using blockchain explorers or similar tools.

We generally do not collect or store personally identifying information about you unless you choose to provide it to us directly (for example, when contacting support or participating in optional promotions), or unless such collection is required to comply with applicable law.

Any off-chain information you provide to us is handled in accordance with our then-current Privacy Policy, which is hereby incorporated into these Terms by reference. By using the Platform, you acknowledge that you have reviewed and understood our Privacy Policy.

Disclaimer of Warranties

THE PLATFORM AND ALL RELATED SERVICES, CONTENT, AND SMART CONTRACT FUNCTIONALITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE CONTINUOUS, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE PLATFORM.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APE CHURCH, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE Terms OR YOUR USE OF THE PLATFORM SHALL BE LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE TOTAL AMOUNT YOU DIRECTLY SPENT IN TRANSACTION FEES AND WAGERS ON THE PLATFORM DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Indemnification

You agree to indemnify, defend, and hold harmless Ape Church, its affiliates, and their respective directors, officers, employees, contractors, agents, and representatives from and against any and all claims, demands, actions, proceedings, investigations, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or information you submit, post, or transmit through the Platform.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or relating to them or your use of the Platform, shall be governed by applicable international laws and the laws of the jurisdiction in which Ape Church is organized.

Any such dispute or claim shall be resolved through binding arbitration conducted in English by a neutral arbitrator, in accordance with internationally recognized arbitration rules. The decision of the arbitrator shall be final and binding on the parties.

Termination

We may, at any time and in our sole discretion, suspend, restrict, or terminate your access to all or any part of the Platform, with or without notice, for any reason or no reason, including if we believe you have violated these Terms or engaged in any prohibited conduct.

You may cease using the Platform at any time by disconnecting your Wallet and discontinuing all access or interactions. However, termination of access to the Platform will not affect any rights or obligations that have already accrued, including with respect to any on-chain transactions you have previously authorized.

Certain provisions of these Terms, by their nature, shall survive termination, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnity obligations, and dispute resolution provisions.

General Provisions

These Terms, together with any other policies or agreements expressly incorporated by reference (including any Privacy Policy or Game-specific rules), constitute the entire agreement between you and us with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

Our failure or delay in exercising any right, power, or remedy under these Terms shall not operate as a waiver of such right, power, or remedy, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise of the same or any other right, power, or remedy.

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent, and any purported assignment in violation of this restriction shall be null and void. We may freely assign or transfer our rights and obligations under these Terms without restriction.

Neither party shall be liable for any delay or failure to perform any obligation (other than payment obligations, if any) due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, government actions, power outages, failures of the internet, or failures of third-party service providers or blockchain networks (a "Force Majeure Event").

Not available in restricted regions such as:

Afghanistan, Australia, Austria, Belgium, Canada (Ontario, Québec), Central African Republic, China (including Hong Kong & Macao), Cuba, Czech Republic, Denmark, Democratic Republic of the Congo, France, Germany (state-based restrictions), Greece, Iran, Iraq, Italy, Libya, Lithuania, Myanmar (Burma), Netherlands, North Korea, Norway, Poland, Portugal, Romania, Russia (including Crimea, Donetsk & Luhansk regions of Ukraine), Singapore, Somalia, South Korea, South Sudan, Spain, Sudan, Sweden, Switzerland, Syria, Turkey, United Arab Emirates, United Kingdom, United States (including all territories: Guam, Puerto Rico, US Virgin Islands), Venezuela (certain government-linked entities), Yemen, Zimbabwe.
